最新消息！韩国“四大”某成员所正在接受联合检查

目前，韩国金融监督院（FSS）和美国上市公司会计监督委员会(PCAOB)正在对韩国四大会计公司之一的SamilPwC进行为期数周的检查。Samil PwC、SamjongKPMG、DeloitteAnjin、EYHanyoungKorea为韩国四大会计师事务所。此次检查是两个金融监管机构定期检查计划的一部分。

据业内人士透露，SamjongKMPG和DeloitteAnjin在两年前接受了联合调查。今年轮到SamilPwC和EYHanyoung Korea了。EYHanyoung Korea有关人士表示：“安永已于今年夏天早些时候接受了调查”。

2007年3月，韩美两国为了提高质量管理检查的效率和相关性，签订了谅解备忘录(MOU)，开始了共同检查。 此后，检查工作逐渐常态化，截至2022年12月，FSS和PCAOB共进行了22次联合检查。

虽然FSS和PCAOB一直在对会计师事务所进行联合调查，但两家机构的检查范围和目的略有不同。美国审计监管机构有义务对在美国上市的公司或在美国上市公司的子公司的会计师事务所进行定期检查，但FSS则对属于《股份公司外部审计法》管辖范围内的40家会计师事务所的管理和审计进行更广泛的质量检查。

事实上，检查的持续时间也有所不同。FSS的检查时间为6周，PCAOB的检查时间为4周。

由于FSS的调查范围更广，为了提高效率，许多检查细节都与PCAOB共享。FSS表示，在对韩国会计师事务所进行联合检查的过程中，将与PCAOB保持密切的合作关系。

金融监督院的相关人士在接受《韩国时报》采访时解释说：“FSS每2年对四大会计师事务所进行一次检查，而PCAOB则每3年进行一次检查。“两家机构的共同检查可以提高效率和效果，因此每两年进行一次联合检查。”

2002年美国萨班斯-奥克斯利法案(Sarbanes-OxleyAct)颁布后，负责美国上市公司审计的会计师事务所必须在PCAOB注册，并接受定期检查。

Accordingtoindustrysources,SamjongKMPGandDeloitteAnjinunderwentjointinspectionstwoyearsago.Thisyear,itistheturnforSamilPwCandEYHanyoungKorea.EYhasalreadyundergoneitsinspectionearlierinthesummer,anofficialfromEYHanyoungsaid.

ThejointinspectionsbythetwowatchdogagenciesofKoreaandtheU.S.beganinMarch2007withthesigningofamemorandumofunderstanding(MOU)toenhancethemutualefficiencyandrelevanceofqualitycontrolinspections.Theinspectionshavesincebecomeregularized,withatotalof22jointinspectionsbytheFSSandPCAOBhavingbeenconductedasofDecember2022.

WhileFSSandthePCAOBhavebeenlookingintoaccountingfirmsjointly,thescopeandpurposesofthetwoinspectingagenciesdifferslightly.WhiletheU.S.auditingwatchdogisobligatedtoconductregularinspectionsofaccountingfirmsthatareresponsibleforauditingcompanieslistedonU.S.stockmarketsorthesubsidiariesofsuchlistedcompaniesintheU.S.,theFSSconductsqualitycontrolinspectionsonawiderscopeofmanagementandauditsofthe40accountingfirmsthatfallunderthejurisdictionoftheActonExternalAuditofStockCompanies.

Indeed,thedurationoftheinspectionsalsodiffers.TheinvestigationsconductedbytheFSSspansixweeks,whiletheinvestigationscarriedoutbythePACOBlastforfourweeks.

AstheFSSlooksintoawiderscopeofmanagementofthefirms,muchoftheinspectiondetailsaresharedwiththePCAOBtoincreaseeffectiveness.TheFSSsaysitwillmaintainaclosecooperativesystemwiththeU.S.auditingwatchdogduringjointinspectionsofdomesticaccountingfirms.

"TheFSShasbeencarryingoutinspectionsonthebigfouraccountingfirmseverytwoyears,whilethePCOABisobligedtoconductinspectionsonthemeverythreeyears.Asthejointinspectioncanboostefficiencyandeffectiveness,thetworegulatorshavebeenconductinginspectionseverytwoyears,"anofficialfromtheFSSexplainedtoTheKoreaTimes,Monday.

AftertheenactmentoftheSarbanes-OxleyActin2002intheU.S.,accountingfirmsresponsibleforauditingcompanieslistedonU.S.stockexchangesarerequiredtoregisterwiththePCAOBandundergoregularinspections.

Theinspectionssometimesleadtoimposingfinesonaccountingfirms.InAugust2022,SamjongKPMGwasfined$350,000bythePCAOBoverfailurestoestablishandimplementappropriatequalitycontrolpolicies.TheU.S.accountingwatchdogalsofinedtwoformeremployeesforimproperlyalteringdocumentsandviolatingauditingstandardsduringits2008audit.

ThePCAOBalsoimposedapenaltyof$350,000onDeloitteKoreainconnectionwithits2014auditdocuments,pointingoutthefirm'sfailuretoimplementappropriatequalitycontrolpoliciesandprocedures.
